News Alert: RNDC In Talks To Divest Most Of Its Business

Having already agreed to sell its business across 11 markets to Reyes Beverage Group, RNDC has now revealed it’s in talks with multiple other parties to sell off the majority of the company.

Among the prospective deals in the works, RNDC has signed a letter of intent toward a potential transaction with Martignetti Companies covering control state operations across Alabama, Idaho (brokerage only), Iowa, Maine, Michigan (brokerage only), Mississippi, Montana, New Hampshire, North Carolina, Ohio, Oregon (brokerage only), Pennsylvania, Utah, Vermont, Virginia (brokerage only), West Virginia, and Wyoming.

In the Pacific Northwest, RNDC has signed a letter of intent toward a deal with Columbia Distributing for its businesses in Alaska, Oregon, and Washington.

RNDC also says it’s in “advanced discussions” with an unnamed potential buyer for its operations across its Plains states, and expects to have an update on those talks shortly.

Finally, the distributor says it’s working with its joint venture partners in the New York, Illinois, Kentucky, Indiana, and Michigan markets to determine the best paths forward for those businesses.

RNDC cautioned that “each transaction is being managed independently and is at a different stage of development. There can be no assurance that any of the potential transactions described above will be completed on the terms currently contemplated or at all.”

“We’re taking these thoughtful, deliberate steps as we continue to evaluate the best path forward for our business,” said RNDC president and CEO Marc Sachs. “Our focus remains on supporting our associates, delivering for our suppliers, and maintaining strong service for our customers. We have a measured approach to each of these opportunities, and are negotiating with a focus on our people, our partners, and the markets we serve.”

RNDC added that its pending deal with Reyes remains on track to close by the end of May. All in all, this latest announcement from the former number-two wine and spirits distributor in the country marks another key moment in the fast-moving realignment of the U.S. market’s middle tier.
